GENERAL TERMS OF MEMBERSHIP AND USE
DOORMATH PLATFORM
By registering on the Doormath platform, the real estate broker acknowledges having read these general terms of membership and use (the "Terms") and accepts them without reservation.

1. PURPOSE AND NATURE OF THE SERVICE
Doormath operates a digital platform offering advertising visibility, promotional positioning, and matchmaking between consumers and real estate brokers recognized for their expertise in specific geographic areas.
Membership on the platform allows the broker to benefit from priority or preferential visibility in one or more sectors, according to these Terms.
Doormath does not act as a real estate agency, broker, representative of the broker, or transactional intermediary. Membership is exclusively a visibility and marketing service.

2. MEMBERSHIP AND SECTOR SELECTION
The broker may select one or more geographic sectors offered by Doormath, subject to availability.
Monthly rates applicable to each sector are determined by Doormath and may vary based on demand, scarcity, and the strategic value of the sector. Applicable rates are those displayed at the time of membership or renewal.
Visibility offered by Doormath is not exclusive unless expressly agreed in writing.

3. TERM, COMMITMENT, AND CANCELLATION BY THE BROKER
Membership is agreed for a firm minimum term of three (3) consecutive months.
The broker acknowledges that the launch monthly rate is offered for a minimum period of three (3) months and that updated pricing may apply per sector after that period.
After this initial period, membership automatically renews on a monthly basis.
The broker may end renewal by sending written notice to Doormath at least twenty (20) calendar days before the start of the next month. If this deadline is not met, an additional month will be billed.

4. FEES AND PAYMENT TERMS
Fees are billed monthly, payable in advance, by credit card or any other payment method accepted by Doormath.
Rates may be adjusted after the initial three (3)-month period, by sector, and the rates displayed at renewal will apply.
In case of non-payment, Doormath reserves the right, without notice, to suspend or remove the broker's visibility until full payment is received, without this constituting automatic termination of the membership.

5. BROKER OBLIGATIONS
The broker agrees to:
- Hold a valid license issued by the OACIQ at all times;
- Be genuinely active in the selected sector(s);
- Respond diligently to requests from the platform, ideally within twenty-four (24) business hours;
- Provide professional, respectful service in compliance with industry standards and rules of ethics;
- Maintain a professional reputation compatible with Doormath's quality standards;
- Provide and keep up-to-date information that is accurate, complete, and truthful.

6. PERFORMANCE EVALUATION AND DOORMATH'S RIGHT TO TERMINATE
Doormath seeks to collaborate exclusively with engaged, high-performing brokers to ensure a quality experience for platform users.
To this end, Doormath reserves the right to evaluate broker performance, including but not limited to:
- response times and rates,
- engagement with users,
- user satisfaction,
- active use of platform tools.
Doormath may, at its reasonable discretion, remove a broker from a sector or terminate membership with immediate effect, notably in the following cases:
- inactivity or lack of follow-up,
- no response or excessive response delays,
- complaints, negative feedback, or user dissatisfaction,
- practices or behavior likely to harm Doormath's image, credibility, or integrity,
- non-compliance with professional, legal, or ethical obligations.
Doormath may, but is not required to, provide a prior corrective notice. Any termination by Doormath gives no right to indemnity, compensation, or refund, in whole or in part.

7. NON-CIRCUMVENTION
The broker agrees not to attempt, directly or indirectly, to circumvent the Doormath platform to enter into direct relationships with users identified through it, for the purpose of avoiding Doormath's visibility, tracking, or compensation mechanisms.
This obligation remains in effect throughout the membership and for twelve (12) months following its end.
Any violation of these Terms may result in:
- immediate termination of membership without indemnity,
- any claim for damages,
- any legal proceeding or injunction deemed appropriate,
- reimbursement of reasonable legal fees incurred.

8. LIMITATION OF LIABILITY
Doormath acts exclusively as a visibility and matchmaking platform.
Doormath does not guarantee any volume of inquiries, mandates, transactions, or financial results.
The broker remains solely responsible for their professional services, communications, commitments, and legal and ethical obligations.

9. DATA, CONTENT, AND ACCURACY
Information displayed on the platform, including descriptive data, analyses, estimates, and generated values, is provided for informational purposes only and may contain inaccuracies.
Doormath guarantees neither the accuracy, completeness, nor timeliness of the data presented.

10. USE OF CONTENT AND IMAGE
The broker authorizes Doormath to use their name, image, photograph, logo, and professional information for presentation, promotion, and operation of the platform.
Any unauthorized use of Doormath's brand, name, or distinctive elements is strictly prohibited.

11. INTERRUPTION AND FORCE MAJEURE
Doormath shall not be liable for any temporary interruption of the platform resulting from maintenance, technical failure, outage, or any event of force majeure.

12. CHANGES TO THE TERMS
Doormath may modify these Terms at any time. The applicable Terms are those in effect at the time of membership or renewal.
Continued use of the platform constitutes acceptance of the modified Terms.

13. ENTIRE AGREEMENT
These Terms constitute the entire agreement between Doormath and the broker and supersede any prior agreement, oral or written, relating to the same subject.

14. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the province of Quebec and the applicable federal laws of Canada.
Any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec.

15. ACCEPTANCE
By checking the box provided during registration, the broker acknowledges having read, understood, and accepted these general terms of membership and use.
